NODIENS GENERAL CAMPAIGN TERMS

PARTIES
1. These Nodiens General Campaign Terms are entered into between:
2. Horizon Risk Labs Limited, a company registered in the Abu Dhabi Global Market under company number 16346, with its registered office at Office 3701-08-D06, PO Box - 764796, 37th Floor, Sky Tower, Shams, Abu Dhabi, Abu Dhabi, Al Reem Island, United Arab Emirates, which operates the Nodiens platform (“Nodiens”, the “Company”, “we”, “our” or “us”); and
3. you, being the individual who enters or participates in a Campaign (“Participant”, “you” or “your”).
4. These General Campaign Terms constitute a legally binding agreement between the Company and the Participant.
DEFINITIONS AND INTERPRETATION
1. In these Campaign Terms (the “General Campaign Terms”), unless the context otherwise requires, the following terms shall have the following meanings:
  - “Applicable Law” means any law, statute, regulation, directive, regulatory guidance, rule, ordinance, or decision of a competent authority applicable to a participant, Nodiens, or the Campaign from time to time.
  - “Campaign” means any campaign, promotion, task, referral programme, prediction activity, competition, leaderboard, reward programme, community initiative or similar activity made available by Nodiens and expressly stated to be subject to these General Campaign Terms.
  - “Campaign Schedule” means the announcement, schedule or campaign-specific rules published or otherwise made available by Nodiens for a particular Campaign, setting out matters such as its Campaign Period, eligibility criteria, qualifying activities, scoring methodology, Rewards and other Campaign-specific conditions.
  - “Campaign Period” means the period during which a Participant may enter or complete qualifying activities under a Campaign, as specified in the applicable Campaign Schedule.
  - “Digital Asset” means a cryptographically secured digital representation of value or rights which may be transferred and stored electronically using distributed ledger technology or similar technology.
  - “Nodiens”, “we”, “our” or “us” means the Nodiens group entity or entities organising and promoting the Campaign.
  - “Nodiens App” or “App” means the Nodiens application, platform, or related services, whether mobile, web-based, or otherwise.
  - “Participant”, “you” or “your” means any natural or legal person who participates in the Campaign in any manner, including by connecting a Social Account, submitting information, completing campaign tasks, using a Referral Link, earning Points, joining community channels, or otherwise interacting with the Campaign.
  - “Platform Terms” means the terms and conditions, acceptable use policies, community rules, privacy notices, and any other binding policies or rules governing access to and use of the Nodiens platform and the Nodiens App, as published or otherwise made available by Nodiens at www.nodiens.com from time to time, including any amendments, replacements, or successor documents.
  - “Points” means non-transferable campaign points, scores or other participation metrics allocated in accordance with the applicable Campaign Schedule.
  - “Privacy Terms” means the privacy policy made available by Nodiens at www.nodiens.com from time to time.
  - “Provisional Winner” means a Participant provisionally identified as eligible to receive a Reward, subject to verification and satisfaction of these General Campaign Terms and the applicable Campaign Schedule.
  - “Referral Link” means the unique referral URL or identifier generated for a Participant in connection with the Campaign.
  - “Reward” means any monetary, Digital Asset, promotional, community, access-based, reputational or other benefit expressly identified as a reward in the applicable Campaign Schedule.
  - “Social Account” means a Participant’s account on X (formerly Twitter), Telegram, Discord, or any other supported third-party social media or communication platform.
  - “Qualified Referral” means a referral that satisfies all requirements specified in the applicable Campaign Schedule and has been validated by Nodiens.
2. References to the singular include the plural and vice versa. Headings are for convenience only and do not affect interpretation.
SCOPE, ACCEPTANCE AND LEGALLY BINDING EFFECT
1. These General Campaign Terms govern all aspects of participation in the Campaign, including access to the Campaign platform, connection of Social Accounts, participation in referral mechanics, earning of Points, participation in community activities, and any interaction with campaign-related features, content, or communications.
2. By participating in the Campaign in any manner whatsoever, including by connecting a Social Account, submitting information, completing campaign tasks, joining community channels, using a Referral Link, earning Points, or otherwise interacting with the Campaign platform, you irrevocably agree to be legally bound by these General Campaign Terms.
3. If you do not agree to these General Campaign Terms in full, you must refrain from participating in the Campaign and must not access or use any Campaign-related features.
4. Participation in the Campaign, including the completion of any tasks, referrals, community actions, allowlisting steps, social media actions, or other requirements administered through the Campaign platform or any third-party service provider, does not create any obligation on the part of Nodiens to provide any specific benefit, ranking, Point allocation, referral status, access privilege, or future reward to any Participant.
5. Nodiens shall have the sole, absolute, and unrestricted discretion to determine eligibility for participation in the Campaign, the allocation of Points, the validity of referrals, leaderboard positioning, access to community features, or any other aspect of the Campaign.
6. Without limitation, Nodiens may, in its sole discretion and without prior notice, refuse, delay, suspend, restrict, revoke, modify, or terminate participation rights, Points, referral allocations, rankings, access privileges, or campaign features for legal, regulatory, compliance, technical, operational, security, reputational, anti-abuse, or other reasons, or for no stated reason at all.
7. No completion of tasks, social actions, referrals, or other participation activities shall create any vested right, entitlement, expectation, or claim against Nodiens, and no refusal, suspension, modification, or discontinuation of any Campaign feature shall give rise to any liability, compensation, damages, or specific performance obligation.
8. These General Campaign Terms apply together with the Platform Terms, Privacy Policy and the applicable Campaign Schedule.
9. If there is any inconsistency between these documents in relation to a Campaign, the following order of precedence shall apply:
  1. the Campaign Schedule;
  2. these General Campaign Terms; and
  3. the Platform Terms.
10. The Campaign Schedule shall prevail only to the extent of the inconsistency and only in relation to the Campaign to which it applies.
THIRD-PARTY PLATFORMS AND SOCIAL ACCOUNT CONNECTIONS
1. Participation in the Campaign may require Participants to connect or authenticate Social Accounts, including X (formerly Twitter), Telegram, Discord, or other third-party platforms, through OAuth or similar authentication mechanisms.
2. By connecting a Social Account, the Participant authorises Nodiens to access, collect, process, store, analyse, and use account-related information made available through the applicable platform, including usernames, profile identifiers, profile images, publicly available account information, engagement data, referral activity, campaign participation data, and other information reasonably required for the administration and operation of the Campaign.
3. Such information may be used for purposes including:
  1. verifying eligibility and task completion;
  2. assigning rankings and Points;
  3. operating referral systems;
  4. fraud prevention and abuse detection;
  5. analytics and campaign optimisation;
  6. community management;
  7. communications and marketing activities; and
  8. operation and improvement of the Nodiens App and related services.
4. Participants acknowledge and agree that the availability, functionality, and continued operation of any Social Account integration depend on third-party platforms and may be modified, restricted, suspended, or discontinued at any time without liability on the part of Nodiens.
5. Nodiens is not affiliated with, endorsed by, or sponsored by X, Telegram, Discord, or any other third-party platform unless expressly stated otherwise.
PURPOSE AND PROMOTIONAL NATURE OF THE CAMPAIGN
1. The Campaign is conceived, designed, and implemented solely as a marketing, promotional, brand-awareness, and community-engagement initiative in connection with the launch and early-stage visibility of the Nodiens App.
2. The Campaign, including any Points, rankings, referral systems, community features, or campaign mechanics, is provided exclusively for promotional, experimental, entertainment, and community-engagement purposes and does not constitute a core product or service of Nodiens.
3. The Campaign is not intended to raise capital, solicit funds, distribute financial products, facilitate investments, or otherwise function as an investment, fundraising, profit-generating, or regulated financial activity.
4. Participation in a Campaign, completion of qualifying activities, accumulation of Points or appearance on a leaderboard does not, by itself, create an entitlement to a Reward.
5. Rewards are available only where expressly identified in the applicable Campaign Schedule. A Participant becomes entitled to a Reward only after:
  1. the Campaign has ended or the relevant selection process has been completed;
  2. Nodiens has reviewed and validated the relevant participation and Campaign results;
  3. the Participant has satisfied all eligibility, verification, compliance and claim requirements; and
  4. Nodiens has issued final written confirmation that the Participant is a winner.
6. Any leaderboard, Point balance, ranking or winner notification issued before final confirmation is provisional and may be corrected following Nodiens’ review.
NON-FINANCIAL AND NON-REGULATED NATURE OF CAMPAIGN PARTICIPATION
1. The Campaign, including any Points, rankings, referral systems, campaign participation mechanics, or community features, does not constitute, and shall not be construed as, financial instruments, securities, derivatives, investment contracts, crypto-assets with financial characteristics, or any analogous regulated product under Applicable Law.
2. Without limitation, participation in the Campaign does not represent equity, ownership, debt, profit participation, revenue sharing, yield, governance rights, or any form of economic interest in Nodiens or any affiliated entity.
3. No aspect of the Campaign is marketed, offered, or intended as an investment opportunity, and no reasonable expectation of profit, appreciation, economic return, or financial benefit may be derived from participation in the Campaign.
ABSENCE OF RIGHTS, ENTITLEMENTS, OR CLAIMS
1. Participation in the Campaign, earning of Points, referral activity, leaderboard positioning, or participation in any community feature does not grant the Participant any legal, contractual, proprietary, governance, economic, or enforceable rights against Nodiens.
2. For the avoidance of doubt, participation in the Campaign does not confer shareholder rights, voting rights, governance rights, creditor rights, rights to tokens or crypto-assets, rights to future distributions, or rights to any future products, services, rewards, or benefits.
3. No Participant shall have any claim, cause of action, or entitlement arising from the Campaign or from any statements, communications, rankings, referral systems, Points, or other campaign-related features.
WINNER VERIFICATION AND REWARD CLAIMS
1. Following the end of a Campaign, Nodiens may freeze the relevant leaderboard or other Campaign results while it reviews qualifying activities, settles pending results and investigates suspected fraud, manipulation or technical errors.
2. Any winner identified during that review shall be a Provisional Winner only. A Provisional Winner must, within seven calendar days after the first notification from Nodiens, provide any information reasonably requested to verify eligibility and enable delivery of the Reward.
3. Nodiens may notify Provisional Winners by email, in-app notification or direct communication through an official Nodiens account. Public announcements through Nodiens community channels do not replace individual notification unless the Campaign Schedule expressly states otherwise.
4. Where a Provisional Winner:
  1. does not respond within the applicable claim period;
  2. cannot be contacted using the information associated with their Account;
  3. does not provide the required information;
  4. fails an eligibility, identity, sanctions, fraud-prevention or compliance check;
  5. has breached these General Campaign Terms or the Campaign Schedule; or
  6. cannot lawfully receive the Reward,
5. Nodiens may disqualify that Provisional Winner and select the next eligible Participant, select an alternative winner or treat the Reward as unclaimed.
6. Nodiens may extend a claim period where it reasonably considers this appropriate, but is not obliged to do so.
7. Points, rankings, referral activity, waitlist positions, and Campaign participation do not constitute and shall not be construed as financial products, crypto-assets, securities, investment opportunities, or rights to receive tokens, digital assets, revenue, profits, or future distributions. Unless expressly confirmed by Nodiens in an official written announcement, participation in the Campaign does not guarantee eligibility for any token distribution, airdrop, allocation, reward, or future benefit of any kind. Any references to potential future ecosystem participation, rewards, incentives, or token-related activities are purely informational, non-binding, and subject to change, suspension, or discontinuation at Nodiens’ sole discretion.
DIGITAL ASSET REWARDS
1. Where a Reward is stated as being payable in a Digital Asset, the applicable Campaign Schedule shall identify, or permit Nodiens to notify the winner of, the relevant Digital Asset and supported blockchain network.
2. The Participant is responsible for:
  1. providing a complete, accurate and compatible wallet address;
  2. ensuring that the wallet supports the relevant Digital Asset and blockchain network;
  3. maintaining access to and control of the wallet; and
  4. checking the wallet details before confirming them to Nodiens.
3. Nodiens shall not be responsible for any Reward transferred to an incorrect, incompatible, inaccessible or compromised wallet address provided or confirmed by the Participant, except where the incorrect transfer resulted directly from Nodiens’ fraud or gross negligence.
4. Unless the Campaign Schedule states otherwise, a Reward described by reference to a fiat currency amount shall be paid in the stated Digital Asset in an amount reasonably calculated by Nodiens by reference to the prevailing exchange rate at or around the time the Reward transfer is initiated.
5. Digital Asset Rewards are subject to risks including changes in value, de-pegging, issuer or custodian failure, network congestion, transaction delays, blockchain forks, technical failures and smart-contract vulnerabilities. Nodiens does not guarantee the continuing value, transferability, liquidity or availability of any Digital Asset Reward.
6. The Participant is responsible for any personal tax, reporting or similar obligation arising from receipt or use of a Reward. Nodiens may withhold, report or deduct amounts where required by Applicable Law.
ANTI-ABUSE, AUTOMATION, AND REFERRAL RESTRICTIONS
1. Participants must not engage in spam, fake referrals, duplicate account creation, account farming, automation, botting, scripted interactions, deceptive engagement, artificial amplification, misleading promotion, or any other activity intended to manipulate Campaign participation metrics, rankings, referrals, waitlist positions, Points, or community engagement.
2. Nodiens may, in its sole discretion and without prior notice, invalidate referrals, remove Points, restrict accounts, revoke rankings, suspend participation, disable referral systems, or permanently disqualify Participants where Nodiens reasonably suspects abuse, manipulation, fraudulent activity, inauthentic engagement, automation, or violations of these General Campaign Terms.
3. All determinations made by Nodiens regarding Campaign integrity, referral validity, abuse prevention, or Participant eligibility shall be final and binding.
⁠NO ADVICE AND NO RELIANCE
1. Nothing in the Campaign, metadata or communications constitutes financial, investment, legal, or tax advice.
2. Participants acknowledge that they have not relied on Nodiens in deciding to participate in the Campaign.
PERSONAL DATA, INTERNATIONAL TRANSFERS, AND CONSENT
1. By participating in the Campaign, connecting a Social Account, submitting an email address, joining community channels, completing tasks, using referral systems, or otherwise interacting with the Campaign, the Participant expressly acknowledges and agrees that Nodiens and its affiliates, related parties, service providers, contractors, analytics providers, marketing providers, infrastructure providers, partners, and collaborators may collect, access, process, store, analyse, transfer, disclose, and otherwise use personal data and campaign-related information for purposes including:
  1. administering and operating the Campaign;
  2. verifying eligibility and task completion;
  3. fraud prevention, abuse detection, and security;
  4. analytics, growth, advertising, and marketing activities;
  5. community management and communications;
  6. operation and improvement of the Nodiens App and related products or services; and
  7. any other legitimate business or operational purpose connected with the Campaign or the Nodiens ecosystem.
2. Such personal data may include usernames, social media identifiers, referral data, engagement data, email addresses, IP addresses, device information, campaign participation data, and other information submitted or made available by the Participant.
3. The Participant expressly consents to the transfer, disclosure, storage, and processing of such personal data across international borders, including to jurisdictions that may not provide the same level of data protection as the Participant’s country of residence, and acknowledges that such transfers may occur to the Company’s affiliates, related parties, partners, contractors, infrastructure providers, and service providers located outside the Participant’s jurisdiction.
4. The Participant further acknowledges and agrees that campaign-related information, rankings, usernames, referral activity, and social engagement activity may be publicly displayed in connection with the Campaign, including on leaderboards, referral systems, social posts, or community channels.
5. By participating in the Campaign, the Participant expressly consents to the processing and international transfer of personal data as described in these General Campaign Terms.
6. Such processing may include administering the Campaign, verifying qualifying activities and referrals, maintaining leaderboards, communicating with Participants, verifying winners, delivering Rewards, detecting fraud or abuse, complying with legal and regulatory obligations and publishing limited winner information where described in the applicable Campaign Schedule or otherwise permitted by law.
7. Campaign-related personal data may be processed by Nodiens’ affiliates and service providers and transferred internationally in accordance with the Privacy Policy and the requirements of Applicable Law.
8. Where required by Applicable Law, Nodiens will obtain separate consent before using personal data for optional direct marketing or publishing information that identifies a Participant beyond the information reasonably necessary to administer and report the Campaign.
MARKETING COMMUNICATIONS
1. By submitting an email address or otherwise providing contact information in connection with the Campaign, the Participant consents to receive campaign-related communications, newsletters, product updates, community announcements, promotional materials, and marketing communications from Nodiens and its affiliates, subject to Applicable Law.
2. Participants may unsubscribe from marketing communications at any time using any unsubscribe mechanism made available by Nodiens where applicable.
NO TOKEN OR TOKEN GENERATION EVENT ENTITLEMENT
1. Unless expressly stated in a Campaign Schedule approved and published by Nodiens, Points, rankings, Campaign participation and Campaign Features do not constitute or confer any right or entitlement to receive tokens, Digital Assets, an airdrop, an allocation, governance rights, revenue, profits or any other future benefit.
2. Points are not tokens or Digital Assets, have no monetary value, are not transferable and may not be sold, assigned, exchanged, withdrawn or redeemed.
3. A reference to a possible token generation event, token launch, airdrop or future ecosystem activity does not constitute a promise or guarantee that such event will occur or that any Participant will be eligible to participate. Any token-related activity may be subject to separate terms, eligibility requirements, legal restrictions and compliance checks.
ELIGIBILITY, EXCLUSION, AND RESTRICTION OF PARTICIPATION
1. Nodiens reserves the sole, absolute, and unrestricted discretion, at any time and without prior notice, to determine the eligibility of any Participant to participate in the Campaign, earn or retain Points, use a Referral Link, appear on any leaderboard or waitlist, access any community feature, or otherwise interact with any Campaign-related feature.
2. Without limitation, Nodiens may, acting in its sole discretion, refuse, suspend, restrict, revoke, or permanently prohibit any Participant from participating in any phase of the Campaign where Nodiens determines, or reasonably suspects, that such Participant:
  1. has engaged, or is likely to engage, in harmful, abusive, manipulative, misleading, fraudulent, automated, spam-like, or otherwise inappropriate behaviour;
  2. has violated these General Campaign Terms, the Nodiens App terms, any applicable community rules, or any third-party platform rules;
  3. is subject to, or associated with, any sanctions, embargoes, restricted lists, or watchlists maintained by governmental, regulatory, or supervisory authorities;
  4. presents legal, regulatory, compliance, reputational, operational, technical, security, or anti-abuse risks to Nodiens, the Campaign, other Participants, or third parties; or
  5. has engaged in activity that, in Nodiens’ reasonable assessment, undermines the integrity, fairness, reputation, or objectives of the Campaign.
3. Nodiens may impose such restrictions by any means it considers appropriate, including by restricting Social Accounts, accounts, Referral Links, Points, rankings, waitlist positions, community access, task completion status, or other campaign-related features, and shall not be required to provide reasons, evidence, or an opportunity to contest such decision.
4. Any exclusion, restriction, refusal, suspension, revocation, or disqualification exercised under this clause shall not give rise to any liability, claim, or entitlement to compensation, damages, reinstatement, or specific performance.
APPLICATION OF NODIENS PLATFORM TERMS AND CONTINUING COMPLIANCE
1. Participation in the Campaign and access to any Campaign-related features are conditional upon continued compliance with the Platform Terms and Privacy Terms. By participating in the Campaign, each Participant expressly acknowledges and agrees that:
  1. the Platform Terms and Privacy Terms apply concurrently and cumulatively to their participation in the Campaign and any interaction with the Nodiens App or related services;
  2. the Campaign does not create a separate entitlement, access right, or contractual framework independent of the Platform Terms; and
  3. any access, feature, benefit, community function, Point allocation, Referral Link, ranking, or waitlist position associated with the Campaign is provided exclusively within, and subject to, the Platform Terms.
2. Any breach of the Platform Terms shall be deemed, for the purposes of these General Campaign Terms, to constitute a breach of these General Campaign Terms. Without limitation, Nodiens may, in accordance with the Platform Terms and these General Campaign Terms, suspend, restrict, revoke, or terminate a Participant’s access to the Nodiens App, the Campaign, Points, Referral Links, rankings, community features, or any other Campaign-related functionality, without liability or obligation to provide compensation.
3. In the event of any inconsistency between these General Campaign Terms and the Platform Terms, Nodiens shall determine, in its sole discretion, which terms shall prevail, taking into account the nature of the relevant access, feature, or activity.
INTELLECTUAL PROPERTY
1. All intellectual property rights relating to the Campaign, the Nodiens App, designs, branding, logos, marks, campaign materials, visuals, copy, rankings, referral systems, software, interfaces, and related content remain vested in Nodiens or its licensors.
2. No intellectual property rights are transferred to any Participant by virtue of participating in the Campaign, generating, receiving, displaying, earning Points, using a Referral Link, appearing on a leaderboard, or accessing any Campaign-related feature.
3. Participants may share their Referral Link solely for personal, non-commercial, promotional participation in the Campaign and strictly in accordance with these General Campaign Terms, the Platform Terms, and Applicable Law.
PROHIBITED CONDUCT
1. Participants must not, whether directly or indirectly, engage in any conduct that is misleading, deceptive, abusive, manipulative, unlawful, automated, spam-like, or otherwise harmful to Nodiens, the Campaign, other Participants, third-party platforms, or the broader community.
2. Without limitation, Participants must not:
  1. misrepresent, characterise, or promote the Campaign, Points, rankings, referrals, waitlist positions, or any Campaign-related feature as financial products, investments, securities, profit-generating instruments, or assets with expected economic value, appreciation, yield, or return;
  2. make or disseminate statements, marketing materials, social media posts, or communications that are false, misleading, exaggerated, or likely to create confusion regarding the nature, purpose, or characteristics of the Campaign;
  3. imply or suggest that participation in the Campaign, earning Points, using a Referral Link, or appearing on a leaderboard grants ownership, governance, economic, token-related, or other enforceable rights;
  4. engage in spam, fake referrals, duplicate account creation, account farming, botting, scripted interactions, artificial amplification, deceptive engagement, or any activity intended to manipulate Points, referrals, rankings, waitlist positions, or Campaign metrics;
  5. use bots, scripts, automation, or other technical means to bypass Campaign rules, eligibility criteria, task requirements, social media actions, referral mechanics, or anti-abuse controls;
  6. engage in harassment, hate speech, threats, doxxing, or other abusive behaviour toward Nodiens, its team members, community moderators, partners, service providers, or other Participants;
  7. breach or encourage the breach of any rules, terms, or policies of X, Telegram, Discord, or any other third-party platform used in connection with the Campaign; or
  8. use the Campaign, Points, Referral Links, or any Campaign-related feature for any unlawful purpose or in violation of Applicable Law.
3. Nodiens reserves the sole and absolute discretion to establish, publish, interpret, modify, supplement, or clarify acceptable conduct standards applicable to the Campaign from time to time, including through community announcements, posts, guidelines, pinned messages, or notices published on social media platforms, community channels, or the Nodiens App.
4. Such conduct standards, once published or communicated, shall form part of these General Campaign Terms and shall be binding on Participants. Participants are responsible for staying informed of any updates or clarifications to such standards.
5. Any determination by Nodiens that a Participant has engaged in prohibited conduct or has failed to comply with applicable conduct standards shall be final and binding. Nodiens may, in its sole discretion and without prior notice, take any action it deems appropriate, including restricting participation, invalidating referrals, removing Points, revoking rankings, suspending or terminating access to the Nodiens App or Campaign, disabling Referral Links, or taking other remedial or protective measures, without liability or obligation to provide compensation.
LIMITATION OF LIABILITY
1. To the maximum extent permitted by Applicable Law, Nodiens shall not be liable for any loss, damage, claim, liability, cost, expense, or harm arising out of or in connection with participation in the Campaign, connection of any Social Account, allocation, recalculation, reduction, removal, or cancellation of Points, referral activity, rankings, waitlist positions, community participation, third-party platform failures, technical issues, campaign suspension, campaign modification, or any reliance on any perceived access, benefit, reward, or future opportunity associated with the Campaign.
2. Nodiens does not guarantee uninterrupted access to the Campaign, successful task verification, continued availability of any Social Account integration, accuracy of rankings or Points, validity of referrals, availability of community channels, or the continued operation of any Campaign-related feature.
INDEMNITY
1. Participants agree to indemnify and hold harmless Nodiens from claims arising out of their participation in the Campaign or breach of these General Campaign Terms.
MISCELLANEOUS
1. These General Campaign Terms constitute the entire agreement between you and Nodiens in relation to the Campaign and supersede any prior or contemporaneous communications, representations, understandings, or arrangements, whether oral or written, relating to the same subject matter. You acknowledge that you have not relied on any statement, representation, assurance, or warranty not expressly set out in these General Campaign Terms.
2. Nothing in these General Campaign Terms shall be construed as creating any partnership, joint venture, agency, fiduciary, or employment relationship between you and Nodiens, nor as authorising either party to act as agent for the other or to incur any obligation on behalf of the other.
3. If any provision of these General Campaign Terms is held to be invalid, illegal, or unenforceable by a court or competent authority of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, and, if such modification is not possible, shall be deemed severed. In either case, the validity, legality, and enforceability of the remaining provisions shall not be affected.
4. No failure or delay by Nodiens in exercising any right, power, or remedy under these General Campaign Terms shall operate as a waiver of that or any other right, power, or remedy, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise of that or any other right, power, or remedy.
5. You may not assign, transfer, novate, or otherwise dispose of any of your rights or obligations under these General Campaign Terms, whether voluntarily or by operation of law, without the prior written consent of Nodiens. Nodiens may assign, transfer, or novate its rights and obligations under these General Campaign Terms at any time without restriction.
6. Nodiens reserves the right to amend, modify, supplement, or replace these General Campaign Terms at any time. Any such amendment shall become effective upon publication or otherwise being made available in connection with the Campaign or the Nodiens App. Your continued participation in the Campaign following such amendment shall constitute acceptance of the amended terms.
7. These General Campaign Terms may be executed, accepted, and evidenced electronically, including by Social Account connection, account authentication, click-through acceptance, task completion, Campaign participation, or other electronic means, each of which shall be deemed to constitute valid and binding acceptance for all legal purposes.
8. Nothing in these General Campaign Terms is intended to, or shall, confer any benefit or right on any person who is not a party to these General Campaign Terms, whether under third-party beneficiary doctrines or otherwise.
9. These General Campaign Terms, their subject matter and formation, and any non-contractual obligations arising out of or in connection with them shall be governed by the laws of the Abu Dhabi Global Market.
10. The courts of the Abu Dhabi Global Market shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these General Campaign Terms or a Campaign.
